Terms & Conditions

Please read these Terms carefully. By downloading, accessing, or using the GoApp or any GoCaby service, you agree to be legally bound by them.

GOCABY Technologies Ltd. — Terms and Conditions of Service

These Terms constitute a legally binding agreement between you and GOCABY Technologies Ltd., a company incorporated under the laws of the Federal Republic of Nigeria. Continued use of the GoApp or any GoCaby service following any update constitutes your acceptance of the revised Terms.

ACCEPTANCE OF TERMS

By downloading, accessing, or using the GoCaby mobile application (“GoApp” or “App”) or any service provided by GOCABY Technologies Ltd. (“GoCaby,” “we,” “our,” or “us”), you agree to be bound by these Terms and Conditions (“Terms”) and our Privacy Policy, both of which are incorporated by reference. If you do not agree to these Terms in their entirety, you must not use the App or any GoCaby service.

These Terms apply to all categories of users, including Riders, Drivers, Partners, and corporate clients.

DEFINITIONS

  • “App” / “GoApp” — the GoCaby mobile application available on iOS and Android platforms.
  • “Platform” — the App, the GoCaby website, and all related services, APIs, and technology operated by GoCaby.
  • “Rider” — any individual who uses the Platform to request transportation, delivery, or logistics services.
  • “Driver” — any independent contractor who uses the Platform to provide transportation or delivery services.
  • “Partner” — any business entity that has entered into a formal partnership or enterprise agreement with GoCaby.
  • “Services” — all services offered through the Platform, including ride-hailing, last-mile delivery, freight logistics, corporate fleet management, and ancillary services.
  • “Trip” — a completed ride or delivery arranged through the Platform.
  • “Content” — any text, data, images, ratings, reviews, or other material submitted by users on the Platform.

ELIGIBILITY & ACCOUNT REGISTRATION

  • You must be at least 18 years of age and legally capable of entering into a binding contract under Nigerian law to create an account and use the Platform.
  • You must provide accurate, current, and complete information during registration. You are obligated to update your account information promptly if it changes.
  • You are solely responsible for maintaining the confidentiality of your login credentials. Any activity that occurs under your account — whether or not authorised by you — is your sole responsibility.
  • You must notify GoCaby immediately at support@gocaby.com if you suspect any unauthorised access to or use of your account.
  • GoCaby reserves the right to reject, suspend, or permanently terminate any account that provides false or misleading information, or that is used in violation of these Terms.
  • You may not create or operate more than one Rider or Driver account. Duplicate accounts may be permanently suspended without notice.

THE GOCABY SERVICES

Platform Role: GoCaby operates exclusively as a technology intermediary that connects Riders with independent Drivers and logistics providers. GoCaby does not directly provide transportation, delivery, or logistics services and is not a transportation carrier, logistics operator, or employer of Drivers for any regulatory or statutory purpose.

Ride-Hailing: Riders may request transportation from available Drivers through the GoApp. GoCaby does not guarantee Driver availability, any specific pick-up time, or Driver acceptance of a request.

Last-Mile Delivery: GoCaby facilitates the delivery of goods. Delivery timelines are estimates only and may be affected by traffic, weather, third-party delays, or other factors outside GoCaby's control. GoCaby accepts no liability for goods that are damaged, lost, or delayed unless caused directly by GoCaby's proven negligence.

Freight & Logistics: GoCaby offers freight transportation and cargo logistics for businesses. Terms specific to freight engagements are governed by separate commercial agreements, which supplement these Terms.

Enterprise & Fleet Solutions: Corporate fleet management and bulk logistics services are available to Partner clients under executed enterprise agreements. Those agreements take precedence over these Terms in the event of any conflict.

Service Availability: GoCaby does not warrant that the Platform will be continuously available, error-free, or free of security vulnerabilities. We may suspend, restrict, or discontinue any Service at any time without prior notice.

PAYMENTS, FEES & PRICING

Dynamic Pricing: Fares and delivery fees are calculated dynamically based on distance, time, demand, route complexity, and other applicable factors. An estimated fare is displayed before booking confirmation; the final charge may differ due to route changes, waiting time, or demand surges.

Payment Obligation: By confirming a booking, you authorise GoCaby to charge your linked payment method for the full amount of the fare and any applicable fees. All payments must be completed through the App.

Payment Processing: Card payments are processed by Paystack Ltd., a PCI-DSS-compliant payment gateway. GoCaby does not store, access, or transmit full card details. Wallet and bank transfer transactions are processed through Providus Bank. By making a payment, you agree to the applicable terms of these payment processors.

Additional Charges: GoCaby may levy supplementary charges for: waiting time beyond the free waiting period; route deviations at the Rider's request; applicable road tolls or levies; late cancellation; failed delivery re-attempts; and extraordinary cleaning or damage costs.

Payment Provider Liability: GoCaby assumes no liability for payment failures, processing errors, unauthorized charges, or any other issues arising from the acts or omissions of third-party payment processors. Any such disputes must be resolved directly with the relevant payment provider. By using the Platform, you expressly release GoCaby from any liability in connection with payment processing.

Taxes: All applicable Value Added Tax (VAT) and other statutory levies under Nigerian law will be applied to transactions where required.

CANCELLATIONS, NO-SHOWS & REFUNDS

  • Free Cancellation Window: Riders may cancel a request at no charge before a Driver has been assigned or within the free cancellation window displayed in the App.
  • Late Cancellation Fee: Cancellations made after Driver assignment or outside the free window may attract a fee, which will be disclosed in the App before the cancellation is confirmed.
  • No-Show: If a Rider is not present at the designated pickup location within the waiting grace period, the trip may be cancelled and a no-show fee applied to their account.
  • Driver Cancellations: Repeated cancellations by a Driver, without reasonable cause, may result in performance penalties, account suspension, or termination.
  • Refund Requests: Disputes and refund requests must be submitted through the App or via support@gocaby.com within 48 hours of the transaction. GoCaby will assess and respond within 7 business days. Approved refunds are credited to the original payment method or the user's GoCaby wallet, at GoCaby's discretion.
  • Non-Refundable Transactions: Fares for completed Trips are non-refundable unless a verified service failure directly attributable to GoCaby is established to GoCaby's satisfaction.
  • Failed Deliveries: GoCaby will make commercially reasonable efforts to notify the sender and arrange re-delivery. Additional charges may apply for subsequent re-delivery attempts. GoCaby accepts no liability for goods that cannot be delivered due to incorrect recipient information provided by the sender.

USER CONDUCT & PROHIBITED ACTIVITIES

You agree to use the Platform lawfully, courteously, and in accordance with these Terms. The following conduct is strictly prohibited:

  • Using the Platform for any unlawful, fraudulent, misleading, or deceptive purpose.
  • Harassing, intimidating, threatening, discriminating against, assaulting, or otherwise harming Drivers, Riders, GoCaby employees, contractors, or any other person.
  • Reverse-engineering, decompiling, tampering with, or attempting to gain unauthorised access to GoCaby's systems, data, or source code.
  • Using automated tools, bots, scripts, or other mechanisms to manipulate trip requests, surge areas, ratings, or the Platform generally.
  • Creating fake accounts, submitting false or misleading reviews, or manipulating the rating system.
  • Requesting transportation or delivery of illegal, hazardous, controlled, or otherwise prohibited goods under Nigerian law.
  • Sharing your account credentials with or permitting any third party to access or use your account.
  • Soliciting Drivers to complete trips or deliveries outside the Platform to circumvent GoCaby's fees or these Terms.
  • Using offensive, discriminatory, or inappropriate language on the Platform or during any Trip.

GoCaby reserves the right to investigate suspected violations, take appropriate remedial action including account suspension or permanent termination, and report conduct to relevant Nigerian law enforcement or regulatory authorities without further notice to you.

DRIVER-SPECIFIC TERMS

Independent Contractor Status: Drivers are independent contractors and are not employees, agents, partners, or joint venturers of GoCaby. Nothing in these Terms creates or implies an employment relationship. Drivers are solely responsible for their own tax obligations, insurance, and compliance with all applicable Nigerian laws.

Mandatory Compliance: Drivers must at all times: hold a valid Nigerian driver's licence appropriate to their vehicle class; maintain all required vehicle insurance (including third-party insurance); comply with all traffic laws, road safety regulations, and applicable licensing requirements; and adhere to GoCaby's Driver Code of Conduct.

Vehicle Standards: All vehicles used on the Platform must meet GoCaby's minimum vehicle standards, pass all required roadworthiness checks, and remain clean and well-maintained. GoCaby reserves the right to suspend any Driver whose vehicle fails to meet these standards.

Ratings & Performance Management: GoCaby operates a performance and rating system. Drivers with persistently low ratings, high cancellation rates, or repeated conduct violations are subject to account review, suspension, or permanent deactivation at GoCaby's sole discretion.

Passenger & Cargo Safety: Drivers are responsible for the safety of Riders and goods in their care during a Trip. Drivers must not drive under the influence of alcohol or any substance, use mobile devices while driving, or engage in any behaviour that compromises passenger or road safety.

PROMOTIONS & BONUSES

  • GoCaby may offer promotional incentives, bonuses, referral rewards, and other offers at its sole discretion. Each promotion is subject to specific eligibility criteria and terms communicated at the time of the offer.
  • Driver performance bonuses are calculated on a weekly basis based on eligible completed Trips. Trips completed at base fare only are excluded from bonus calculations unless expressly stated otherwise in the relevant promotion.
  • GoCaby reserves the right to withhold, reduce, clawback, or permanently forfeit bonuses where it determines, at its sole discretion, that there is evidence of fraudulent activity, system gaming, Trip manipulation, or any other violation of these Terms.
  • Deliberately driving the same Rider on repeated circular or unnecessary trips, coordinating with other Drivers or Riders to inflate trip counts, or any other scheme designed to artificially maximise earnings constitutes fraud. Such conduct will result in immediate bonus forfeiture, account suspension, and may be reported to law enforcement.
  • Promotional codes, referral credits, and discount offers are non-transferable, have no cash value, and may not be combined with other promotions unless expressly permitted.
  • GoCaby may modify, suspend, or permanently discontinue any promotion at any time without prior notice and without any liability to users.

INTELLECTUAL PROPERTY

The GoCaby name, GoApp, logo, trademarks, service marks, trade dress, software, algorithms, content, and all associated intellectual property are the exclusive property of GOCABY Technologies Ltd. and are protected under the Copyright Act (Cap C28 LFN 2004), the Trade Marks Act (Cap T13 LFN 2004), and applicable international intellectual property conventions.

You are granted a limited, personal, non-exclusive, non-transferable, revocable licence to access and use the Platform solely for its intended lawful purpose. This licence does not include the right to sublicense, sell, reproduce, modify, distribute, publicly display, or create derivative works from any GoCaby intellectual property without prior express written consent from GoCaby.

Any Content you submit on the Platform (reviews, ratings, etc.) grants GoCaby a worldwide, royalty-free, perpetual licence to use, reproduce, and display such Content in connection with operating and improving the Platform.

DISCLAIMERS & LIMITATION OF LIABILITY

No Warranties: The Platform and all Services are provided on an “as is” and “as available” basis without representations or warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

Third-Party Conduct: GoCaby does not vet, endorse, or guarantee the conduct, identity, suitability, or safety of any Driver, Rider, or third-party service provider. You acknowledge that you interact with third parties through the Platform at your own risk.

Liability Cap: To the maximum extent permitted by the laws of the Federal Republic of Nigeria, GoCaby's aggregate liability for any claim arising from or related to these Terms or your use of the Platform shall not exceed the total fees paid by you to GoCaby in the three (3) months immediately preceding the event giving rise to the claim.

Excluded Damages: GoCaby shall not be liable — under any theory of law — for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, revenue, business opportunities, data, or goodwill, even if GoCaby has been advised of the possibility of such damages.

Force Majeure: GoCaby shall not be liable for any failure or delay in performance resulting from causes beyond its reasonable control, including acts of God, natural disasters, civil unrest, strikes, government actions, power failures, or internet or telecommunications outages.

INDEMNIFICATION

You agree to fully indemnify, defend, and hold harmless GOCABY Technologies Ltd. and its affiliates, officers, directors, employees, agents, successors, and assigns from and against all claims, demands, proceedings, liabilities, damages, losses, fines, penalties, costs, and expenses — including reasonable solicitors' and legal fees — arising out of or relating to:

  • Your access to or use of the Platform or Services;
  • Your violation of any provision of these Terms or our Privacy Policy;
  • Your breach of any applicable law, regulation, or third-party right; or
  • Any Content you submit, post, or transmit through the Platform.

GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by and shall be construed exclusively in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict-of-law provisions.

Negotiation: Any dispute, controversy, or claim arising from or relating to these Terms or the Platform must first be referred to GoCaby in writing. The parties shall attempt to resolve the dispute in good faith within thirty (30) days of the written notice.

Arbitration: If a dispute is not resolved by negotiation within the thirty-day period, it shall be finally determined by binding arbitration conducted in Abuja, Nigeria, under the Arbitration and Conciliation Act (Cap A18 LFN 2004) or its successor legislation. Arbitration proceedings shall be conducted in English and the arbitral award shall be final and binding on both parties.

Interim Relief: Nothing in this clause prevents either party from seeking urgent injunctive or other interim relief from a court of competent jurisdiction to preserve rights or prevent irreparable harm pending arbitration.

AMENDMENTS

GoCaby reserves the right to amend, modify, or replace these Terms at any time at its sole discretion. Where changes are material, we will provide at least fourteen (14) days' notice through the App or via the email address associated with your account. Your continued use of the Platform after the effective date of any amendment constitutes your acceptance of the revised Terms. If you do not agree to any amendment, you must immediately cease using the Platform and may delete your account through the App settings.

TERMINATION

  • GoCaby may suspend or permanently terminate your access to the Platform at any time — with or without prior notice — for violations of these Terms, fraudulent or abusive conduct, safety concerns, inactivity, regulatory requirements, or any other reason at GoCaby's sole and absolute discretion.
  • Upon termination, all licences and rights granted to you under these Terms cease immediately and you must stop using the Platform.
  • Termination does not release you from any outstanding payment obligations, nor does it limit GoCaby's right to pursue any available legal, equitable, or regulatory remedies against you.
  • You may voluntarily delete your account at any time through the App settings. Account deletion does not discharge any liability or obligation incurred prior to deletion.

GENERAL PROVISIONS

Entire Agreement: These Terms, together with the Privacy Policy and any applicable enterprise or partner agreement, constitute the entire agreement between you and GoCaby with respect to the Platform and supersede all prior understandings.

Severability: If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

No Waiver: GoCaby's failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer any rights or obligations under these Terms without GoCaby's prior written consent. GoCaby may freely assign its rights and obligations.
